Welcome to Online Poradňa, accessible at onlineporadna.live (the "Website" or "Service"). These Terms of Service ("Terms") govern your access to and use of the Website, including any content, functionality, and services offered on or through Online Poradňa. Please read these Terms carefully before using the Service. By accessing or using the Website, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Service.

Online Poradňa provides a platform for online counseling, advice, and support services (collectively, "Services"). These Services are intended for informational and educational purposes only and do not constitute professional medical, psychological, or legal advice. You acknowledge that your use of the Service is at your own risk.

1. Acceptance of Terms

By creating an account, accessing, or using the Website, you confirm that you are at least 18 years old or of legal age in your jurisdiction to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. You agree to comply with all applicable laws and regulations.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on the Website. Your continued use of the Service after any modifications indicates your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

2. Description of Service

Online Poradňa connects users with qualified counselors, therapists, advisors, and support professionals (collectively, "Counselors") for virtual consultations, text-based chat, audio calls, video sessions, and asynchronous messaging. The Service may include self-help resources, articles, assessments, and community forums. All Services are provided on an "as is" and "as available" basis.

We do not guarantee the availability, accuracy, or completeness of any information provided through the Service. Counselors are independent professionals and are not employees, agents, or representatives of Online Poradňa. The Website acts solely as a facilitator and intermediary between users and Counselors.

3. User Accounts and Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You are responsible for safeguarding your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

We reserve the right to suspend or terminate your account at any time, without notice, for any reason, including violation of these Terms. You may delete your account at any time by contacting support. Account deletion does not remove data that has already been processed or shared with Counselors.

4. User Conduct and Responsibilities

You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

Use the Service for any illegal, fraudulent, or unauthorized purpose.
Harass, abuse, defame, threaten, or intimidate other users or Counselors.
Post, share, or transmit any content that is obscene, hateful, violent, or discriminatory.
Impersonate any person or entity, or falsely state your identity.
Interfere with the operation of the Service, including introducing malware, viruses, or other harmful code.
Attempt to access restricted areas without authorization.
Collect or harvest personal data of other users without consent.
Use the Service for commercial solicitation or advertising.

You are solely responsible for any content you submit, including messages, files, and feedback. You retain ownership of your content, but grant us a non-exclusive, worldwide, royalty-free license to use, store, and display such content solely for providing the Service.

5. Counselor Services and Professional Responsibility

Counselors available on Online Poradňa are independent professionals who hold appropriate qualifications and licenses as required by applicable law. However, we do not verify credentials or conduct background checks. You are encouraged to verify the qualifications of any Counselor before engaging their services.

Counselors are responsible for their own conduct, advice, and interactions with users. Online Poradňa does not endorse any specific Counselor or guarantee the quality of services provided. Sessions are not a substitute for emergency care. If you are in crisis, contact local emergency services immediately.

We may, at our discretion, remove Counselors from the platform for violation of our policies or user complaints. Users may report concerns via our support channels.

6. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy, available at onlineporadna.live/privacy, explains how we collect, use, store, and share your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

We implement reasonable technical and organizational measures to protect your data. However, no system is completely secure. You acknowledge that communications over the internet may be intercepted. We are not liable for unauthorized access to your data beyond our control.

You agree not to share sensitive personal information (e.g., social security numbers, financial details) through the platform unless directly relevant to counseling purposes and with explicit consent.

7. Fees and Payments

Some Services require payment of fees. All fees are displayed in advance, and you agree to pay all charges associated with your selected Services. Payments are processed through third-party payment processors. We do not store your full payment details.

Fees are non-refundable except as explicitly provided in our refund policy. You are responsible for any taxes, fees, or duties applicable to your use of the Service. We reserve the right to change fees at any time, with notice provided.

If payment is not received, we may suspend or terminate your access to paid features.

8. Cancellation and Refund Policy

You may cancel a scheduled session with a Counselor at least 24 hours before the appointment to receive a full refund. Cancelations within 24 hours may incur a fee or no refund, depending on the Counselor's policy. Refunds for subscription-based Services will be prorated based on usage.

To request a refund, contact our support team within 7 days of the transaction. We will review requests on a case-by-case basis. We reserve the right to deny refunds in cases of misuse or violation of these Terms.

9. Intellectual Property Rights

The Website and its entire contents, features, and functionality (including but not limited to text, graphics, logos, images, software, and design) are owned by Online Poradňa or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, or publicly display any part of the Service without prior written consent.

All trademarks, service marks, and trade names displayed on the Website are the property of their respective owners.

10. Third-Party Links and Content

The Service may contain links to third-party websites or resources. We do not endorse or assume responsibility for the content, privacy practices, or terms of any third-party sites. Your use of third-party services is at your own risk.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

NO ADVICE OR INFORMATION OBTAINED THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

YOU ASSUME ALL RISK FOR USE OF THE SERVICE, INCLUDING ANY RELIANCE ON COUNSELOR ADVICE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ONLINE PORADŇA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, EMOTIONAL DISTRESS, LOSS OF PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless Online Poradňa, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

Your violation of any law or third-party rights.
Any content you submit or transmit through the Service.
Your interactions with Counselors or other users.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

14. Termination

We may terminate or suspend your access to the Service at any time, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service ceases immediately. We may retain copies of your data as required by law or for legitimate business purposes.

You may terminate your account at any time by contacting us. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, limitations of liability, and indemnification.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Slovak Republic, without regard to its conflict of law provisions. Any dispute arising out of these Terms or your use of the Service shall be resolved through binding arbitration in Bratislava, Slovakia, in accordance with the rules of the Slovak Arbitration Court.

You agree to waive any right to a jury trial or class action. The arbitration shall be conducted in English. You may opt out of arbitration by notifying us in writing within 30 days of accepting these Terms.

Notwithstanding the foregoing, we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property or confidential information.

16. Emergency and Crisis Situations

Online Poradňa is not an emergency service. If you are experiencing a medical emergency, suicidal thoughts, or any crisis, please call local emergency services immediately (e.g., 112 in Europe or 911 in the US). Do not rely on the Service for immediate assistance.

You agree not to use the Service to report emergencies or to make threats. We are not liable for any delay in response to crisis situations.

17. International Use

The Service is intended for use in Slovakia and select regions. We make no representation that the Service is appropriate or available for use in other locations. If you access the Service from outside these regions, you do so at your own risk and are responsible for compliance with local laws.

You agree to comply with all applicable export control laws.

18. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, strikes, internet outages, government actions, or pandemics.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Online Poradňa regarding your use of the Service and supersede all prior agreements and understandings.

20. Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not be deemed a waiver of that right or provision.
